Terms of Service

1. Licence Grant and Permitted Use

1.1 DocketPro grants the Subscriber a limited, revocable, non-exclusive, and non-assignable right to access and use the Service for its internal business purposes, subject to this Agreement.

1.2 DocketPro does not monitor, evaluate, or validate Content submitted to the Service and does not claim ownership or intellectual property rights in such Content.

1.3 The Subscriber is accountable for ensuring that all Authorized Users and Registered Clients comply with this Agreement and is responsible for their actions and omissions, including any disclosure or misuse of Content enabled through user permissions or system features.

1.4 Except as expressly permitted, no Authorized User may copy, reproduce, distribute, sell, sublicense, exploit, or create derivative works from any portion of the Service, including its source code, structure, interfaces, or visual presentation, without DocketPro's prior written consent.

1.5 The Service may not be altered, decompiled, reverse engineered, interfered with, or used to falsely suggest affiliation with DocketPro or any related product or service.

1.6 The Service must not be used for unlawful, abusive, deceptive, defamatory, obscene, or rights-infringing activities, nor may proprietary notices or identifiers be removed or obscured.

1.7 The Subscriber and Authorized Users must not transmit malware, automated spam, bulk unsolicited messages, or malicious code. DocketPro may analyze usage behaviour to identify misuse and may restrict or suspend access where misuse is reasonably suspected.

1.8 All rights, title, and interest in and to the Service, including associated intellectual property, remain exclusively with DocketPro. The DocketPro name and branding may not be used without authorization.

1.9 Where Content is intentionally made publicly available by an Authorized User, such Content is deemed public and accessible without restriction. DocketPro may remove Public Content that violates this Agreement.

1.10 DocketPro may remove or restrict access to Content that breaches this Agreement or applicable law.

1.11 DocketPro may enhance, modify, limit, or discontinue features of the Service. Where a change materially reduces core functionality, reasonable advance notice will be provided. Continued use constitutes acceptance.

1.12 Temporary interruptions may occur for maintenance, upgrades, or operational needs. DocketPro will use reasonable efforts to provide advance notice where feasible.

1.13 Content is maintained on redundant systems. The Subscriber may and should independently replicate or back up Content to third-party systems at its discretion and risk.

1.14 Any accounting or financial tools provided are supplementary only and are not intended to replace professional accounting systems or regulatory-compliant trust accounting software.

1.15 The Subscriber authorizes DocketPro to store, process, and transmit Content solely to operate and support the Service. DocketPro may generate anonymized, aggregated metrics that do not identify the Subscriber.

1.16 The Service operates on a standardized platform. The Subscriber is responsible for configuring jurisdiction-specific settings and validating suitability.

1.17 By registering an account, the Subscriber consents to receiving operational, security, and service-related communications by electronic means.

1.18 Messaging services depend on third-party carriers. DocketPro is not responsible for delivery failures, delays, or carrier-imposed charges.

1.19 The Subscriber is solely responsible for compliance with all applicable laws, professional obligations, and client duties arising from its use of the Service.

1.20 All activity occurring through the Subscriber's account is deemed authorized by the Subscriber.

2. User Access and Credentials

2.1 Access is limited to Authorized Users and Registered Clients approved by the Subscriber.

2.2 Each Authorized User must use unique credentials and must not share login access.

2.3 Multi-factor authentication may be required or enforced by DocketPro.

2.4 The Primary Subscriber controls account administration and may assign additional administrators.

2.5 Where a single administrator exists, an alternate contact may be designated.

2.6 The Subscriber must safeguard credentials and promptly report unauthorized access.

2.7 Ownership of Content remains with the Subscriber. Following termination, DocketPro will coordinate Content access only with authorized contacts.

2.8 Automated or scripted access is prohibited unless expressly enabled by the Service.

2.9 Where APIs are made available, their use is governed by this Agreement, may be limited for excessive usage, and may be modified or discontinued at DocketPro's discretion.

2.10 DocketPro may temporarily restrict account access to address ownership or authority disputes but does not adjudicate such disputes.

2.11 The Subscriber represents that it has all rights and permissions necessary to provide Content to DocketPro.

3. Confidential Information

3.1 Each party shall protect the other's Confidential Information and use it solely for permitted purposes.

3.2 DocketPro and its service providers may access Content only to deliver the Service, comply with legal obligations, or as expressly authorized.

4. Security Practices

4.1 DocketPro employs commercially reasonable security controls, including encrypted authentication mechanisms.

4.2 The Subscriber is responsible for credential management and internal access controls.

4.3 Suspected credential compromise must be reported immediately.

4.4 Industry-standard safeguards are maintained, and audit documentation may be provided upon reasonable request.

4.5 Security incidents involving unauthorized Content access will be reported without undue delay.

4.6 DocketPro will cooperate in investigating and mitigating confirmed incidents.

4.7 Concurrent credential use is limited. Excess simultaneous access may result in suspension or per-user fees as disclosed.

5. EU Data Protection

Reserved for future use.

6. Legal Disclosure

6.1 DocketPro may disclose information where legally compelled and will provide notice where permitted.

6.2 Legal requests must be submitted through: support@docketpro.ca

7. Backups and Retention

7.1 Backup mechanisms support data restoration where feasible.

7.2 Content retrieval is available for thirty (30) days following termination.

7.3 Users are encouraged to maintain independent backups.

8. Fees and Billing

8.1 A valid payment method is required.

8.2 Alternative billing cycles may be offered.

8.3 Applicable taxes are the Subscriber's responsibility.

8.4 Subscriptions renew automatically unless cancelled.

8.5 Fees are non-refundable except where required by law.

8.6 Professional services must be initiated within sixty (60) days.

8.7 Upgrades are billed immediately on a prorated basis.

8.8 Downgrades take effect upon renewal.

Fee Adjustments, Cost Indexing, and Enforcement

8.X.1 Cost-Based Fee Adjustments With Notice. DocketPro may adjust subscription fees, usage-based fees, or service charges from time to time to reflect increases in the costs of operating and delivering the Service, including but not limited to costs associated with cloud hosting, data storage, artificial intelligence or machine-learning compute, security controls, regulatory or compliance obligations, third-party licensing, and general inflationary pressures (collectively, "Cost Indices"). Where a fee adjustment is based on Cost Indices and is not related to misuse or abuse of the Service, DocketPro will provide the Subscriber with no less than thirty (30) days' prior written notice of the adjustment.

8.X.2 Subscriber Right to Terminate for Standard Increases. If the Subscriber does not agree to a fee increase implemented under Section 8.X.1, the Subscriber may terminate the affected subscription without penalty by providing written notice of termination before the effective date of the increase. In such circumstances, the subscription will remain active at the pre-increase rate until the end of the then-current billing period, after which access to the Service will cease. This termination right applies solely to standard, cost-based fee increases and does not apply to adjustments imposed under Section 8.X.3.

8.X.3 Immediate Adjustments for Abuse or Excessive Use. Notwithstanding Sections 8.X.1 and 8.X.2, DocketPro may impose immediate fee adjustments, per-user charges, usage-based charges, plan reclassification, or other charges where the Subscriber's account is used in a manner that constitutes abuse, credential sharing, excessive or disproportionate consumption of system resources, circumvention of technical or contractual safeguards, or other conduct materially inconsistent with the Fair Usage Policy or the applicable subscription tier. Advance notice is not required where delay would permit ongoing misuse, unfair allocation of shared resources, degradation of Service performance, or operational or security risk.

8.X.4 Additional Remedies. In addition to, or instead of, fee adjustments under this Section, DocketPro may require the Subscriber to upgrade to a higher subscription tier, impose usage limits or throttling, restrict access to certain features, or suspend all or part of the Service until the applicable issue is resolved.

8.X.5 Non-Refundability. Fees charged or adjusted pursuant to this Section are non-refundable, except where refunds are expressly required by applicable law.

8.X.6 Good Faith and Proportionality. DocketPro will exercise its rights under this Section reasonably and in good faith, taking into account the nature, duration, severity, and impact of the relevant cost increases or usage behaviour.

9. Termination

9.1 Subscriptions renew unless cancelled.

9.2 Cancellation takes effect at term end.

9.3 Outstanding fees remain payable.

9.4 Administrators must complete cancellations through support.

9.5 DocketPro may suspend Service for serious violations.

9.6 Content is permanently deleted after thirty (30) days.

10. Liability Limits

10.1 DocketPro is not liable for indirect or consequential losses.

10.2 Total liability is capped at six (6) months of fees.

10.3 The Subscriber bears responsibility for losses caused by its systems.

11. Warranty Disclaimer

11.1 The Service is provided without warranties of any kind.

11.2 Availability and error-free operation are not guaranteed.

11.3 Third-party hardware and software are excluded.

11.4 Client obligations remain the Subscriber's responsibility.

12. Indemnification

12.1 The Subscriber indemnifies DocketPro for misuse-related claims.

12.2 DocketPro provides No IP and security indemnities.

12.3 Defence procedures apply.

13. Artificial Intelligence Services

13.1 AI features are optional and may incur additional fees.

13.2 Outputs may be inaccurate and require human review.

13.3 AI outputs may not be used to train competing systems.

13.4 The Subscriber is responsible for disclosures, compliance, and end-user impacts.

13.5 AI-related claims are the Subscriber's responsibility.

13.6 Aggregated AI data may be used for quality improvement only.

14. Legal Content

14.1 Legal materials are limited to Canadian use unless stated otherwise.

14.2 Materials are informational only and not legal advice.

14.3 Materials may not be redistributed or repurposed other than as intended.

14.4 Materials must be deleted upon termination.

14.5 Materials may be modified or removed.

15. Copyright Notices

15.1 Infringement claims must be submitted via support@docketpro.ca

15.2 Misrepresentation may result in liability.

15.3 Repeat infringers may be terminated.

16. General Provisions

16.1 Support is available to active subscribers.

16.2 Third-party infrastructure may be used.

16.3 Integrations are governed by third-party terms.

16.4 Electronic interception risks are acknowledged.

16.5 Independent contractor relationship.

16.6 No waiver by non-enforcement.

16.7 Entire agreement.

16.8 Amendments permitted with notice.

16.9 Assignment restrictions apply.

16.10 Governing law: Ontario, Canada.

16.11 Geographic use limited to North America.

17. Fair Usage Policy

17.1 Shared-resource use requires proportional consumption.

17.2 Excessive or abusive use is prohibited.

17.3 Monitoring may occur in compliance with privacy laws.

17.4 Remedial action may include throttling, fees, or suspension.

17.5 Policy updates may occur with notice.
